1. Who these terms are between
These terms govern your use of ChatVendor (the "Service"), operated by MIRIFNO ("we", "us"). By creating an account you accept them. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
2. What the Service does
ChatVendor lets you send SMS programmatically through Android phones and SIM cards that you own or control. We accept your API requests, queue them, choose one of your paired phones, and hand the message to that phone. The phone's SIM sends it over its own mobile network subscription.
We are not a mobile network operator and we do not resell SMS capacity. We never transmit a message ourselves. This has a consequence worth being explicit about: you are the sender of record for every message, and your relationship with the mobile operator whose SIM you use is governed by that operator's own terms, not ours.
3. Your account
- You must give accurate registration details and keep them current.
- You are responsible for everything done with your credentials. API keys and device tokens are shown once and stored only as hashes — we cannot recover them for you, and we will never ask you for one.
- Tell us promptly at info@chatvendor.net if you believe a credential has leaked. Revoke it in the dashboard first — that takes effect immediately.
- You must be old enough to enter a contract where you live.
4. Your phones and SIM cards
You are responsible for the devices you pair, the SIM cards in them, and the costs those SIMs incur. Pairing a phone gives the Service permission to send messages through it until you unpair it or disable it.
Do not pair a phone or use a SIM you are not authorised to use. Sending messages that are billed to someone else's subscription without their agreement is a misuse of the Service and grounds for suspension.
5. Acceptable use
Your use must comply with our Acceptable Use Policy, which forms part of these terms. In particular, you must have consent to message the numbers you send to, and you must honour opt-out requests.
6. What we do not promise
Delivery depends on things outside our control: whether your phone is powered on and connected, whether its SIM has service and credit, and whether the mobile network accepts and delivers the message. We therefore do not guarantee that any message will be delivered, or delivered within any particular time.
We report status honestly. sent means the SIM handed the message to the carrier.
delivered means the carrier confirmed arrival — and many carriers never send that
confirmation, so a message that stops at sent has not failed. We do not fabricate a
delivery confirmation we were not given.
The Service is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.
7. Availability and changes
We aim to keep the Service available but do not commit to a specific uptime unless we have agreed one with you in writing. We may change, suspend or withdraw features. Where a change materially reduces what you receive, we will give reasonable notice.
The API is versioned. We will not make breaking changes within /api/v1; incompatible
changes will be published under a new version.
8. Fees
Any fees, plan limits and billing terms are those shown in your account. Mobile network charges for the messages your SIMs send are between you and your operator; we neither collect nor control them.
9. Suspension and termination
You may stop using the Service and delete your account at any time.
We may suspend or terminate an account that breaches these terms or the Acceptable Use Policy, that we are legally required to act on, or that is causing harm to recipients, to mobile networks, or to the Service. Where circumstances allow, we will tell you why and give you an opportunity to put things right; where the harm is ongoing or severe, we may act first and explain afterwards.
10. Your content
Message content remains yours. You grant us only the permission needed to operate the Service: to store, encrypt, route and deliver your messages to your devices, and to retain the records described in our Privacy Policy.
11. Liability
To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, lost business, or loss of data. Our total liability arising from the Service in any twelve-month period is limited to the fees you paid us in that period.
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
12. Indemnity
You will indemnify us against claims, fines and reasonable costs arising from your messages or your breach of these terms — including regulatory action or carrier claims relating to messages sent through your SIMs.
13. Changes to these terms
We may update these terms. The "last updated" date at the top always reflects the current version. For material changes we will notify account owners by email before they take effect. Continuing to use the Service after that means you accept the change.
14. Governing law
These terms are governed by the laws of Uzbekistan, and its courts have jurisdiction over disputes, without prejudice to any mandatory consumer protections available to you where you live.
